Independent Service Provider Agreement
INDEPENDENT SERVICE PROVIDER AGREEMENT
This Independent Service Provider Agreement ("Agreement") is entered into between Movers & Cleanout Crew Inc ("Coordinator") and the service provider accepting these terms ("Provider").
DISCLAIMER: This agreement is provided for informational and operational purposes. It does not constitute legal advice. Both parties are encouraged to consult with an attorney before entering into this agreement.
1. INDEPENDENT CONTRACTOR RELATIONSHIP
Provider is an independent contractor and not an employee, agent, partner, or joint venture of the Coordinator. Provider has the right to perform services for others during the term of this Agreement. Provider is solely responsible for all taxes, insurance, and benefits for themselves and their employees.
2. SERVICES
Provider agrees to perform home services including but not limited to: moving, junk removal, cleaning, cleanouts, packing, delivery, commercial services, and other home services as assigned by the Coordinator. Provider shall perform all services in a professional, workmanlike manner consistent with industry standards.
3. COORDINATOR ROLE
The Coordinator acts as a coordination and management platform. The Coordinator connects customers with service providers, manages bookings, collects coordination fees/deposits, and facilitates communication. The Coordinator does not perform services directly. All physical services — including moving, hauling, cleaning, delivery, and hazardous materials handling — are performed exclusively by independent licensed service providers coordinated through this platform.
4. HAZARDOUS MATERIALS COORDINATION
The Coordinator may coordinate the pickup, transport, and disposal of hazardous materials (including but not limited to: paint, chemicals, batteries, electronics, and regulated waste) on behalf of customers. The Coordinator does not directly handle, transport, or dispose of any hazardous materials. All hazardous materials services are performed exclusively by licensed, certified third-party providers who hold all required federal, state, and local permits, including applicable EPA, DOT, and OSHA certifications. Providers accepting hazardous materials jobs represent and warrant that they hold all required licenses, permits, and certifications for the specific materials involved, and that they will comply with all applicable federal, state, and local regulations governing the handling, transport, and disposal of such materials. Provider assumes full responsibility for compliance with all hazardous materials regulations for any job they accept.
5. PAYMENT TERMS
Provider will receive payment for services as agreed upon for each job assignment. Payment terms are set per job. The Coordinator collects a coordination fee/deposit from the customer; the Provider collects the remaining balance directly from the customer on the day of service unless otherwise agreed in writing. Provider acknowledges that customer pricing and Coordinator margins are confidential.
6. INSURANCE & LICENSING REQUIREMENTS
Provider represents and warrants that they:
(a) Maintain general liability insurance with minimum coverage as required by applicable law and industry standards;
(b) Hold all licenses, permits, and certifications required by applicable federal, state, and local law for the services they perform;
(c) Will provide proof of insurance and licensing upon request and will notify the Coordinator immediately of any lapse in coverage or licensing.
For moving services: Provider must hold all required USDOT, MC, and state authority numbers and maintain cargo and liability insurance as required by applicable law.
For hazardous materials services: Provider must hold all required EPA, DOT, and state hazardous waste transporter permits and certifications applicable to the specific materials being handled.
7. CUSTOMER COMMUNICATION
Provider agrees to:
(a) Communicate professionally and respectfully with all customers;
(b) Not solicit customers for direct business outside of the Coordinator's platform for a period of 12 months following any job assignment;
(c) Not share customer contact information with third parties;
(d) Contact the Coordinator immediately if a customer attempts to bypass the platform.
8. NON-SOLICITATION / NO-BYPASS
Provider agrees not to directly solicit, contact, or accept business from any customer introduced through the Coordinator's platform for a period of 12 months following the last job assignment involving that customer, without the Coordinator's prior written consent. This provision is intended to protect the Coordinator's business relationships and is subject to applicable law.
9. CONFIDENTIALITY
Provider agrees to keep confidential all customer information, pricing structures, Coordinator margins, business processes, and any other proprietary information of the Coordinator. This obligation survives termination of this Agreement.
10. CLAIMS & DAMAGE PROCEDURES
In the event of property damage or customer claims:
(a) Provider must notify the Coordinator within 24 hours of any incident;
(b) Provider is responsible for claims arising from their own negligence or that of their employees;
(c) Provider must cooperate fully with any investigation;
(d) Provider's insurance is primary for claims arising from Provider's services.
11. JOB ACCEPTANCE & PERFORMANCE
Provider agrees to:
(a) Respond to job offers within the timeframe specified;
(b) Arrive on time and fully prepared for all accepted jobs;
(c) Complete all accepted jobs unless prevented by circumstances beyond their control;
(d) Notify the Coordinator immediately of any inability to complete an accepted job.
12. TERMINATION
Either party may terminate this Agreement with 30 days written notice. The Coordinator may terminate immediately for cause, including but not limited to: failure to maintain required insurance or licensing, customer complaints, safety violations, or breach of this Agreement.
13. LIMITATION OF LIABILITY
The Coordinator's liability to Provider is limited to unpaid coordination fees owed. Neither party shall be liable for indirect, consequential, or punitive damages.
14. GOVERNING LAW
This Agreement shall be governed by the laws of the State of New York.
15. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior agreements.
